The rules for using Inbox2Invoice

This is the contract between you and the supplier. It is written in plain English for customers in the United Kingdom. Replace the bracketed supplier details before you publish.

Supplier: [Supplier legal name], [Supplier postal address], [Supplier email].

Software: the Inbox2Invoice Windows program, its updates during your licence term, and the documentation supplied with it.

If you need advice about your own business, speak to a solicitor. This page is the licence for the software.

1. We license it. We do not sell it.

You get a right to use the software for the business named on the licence file, on the installation where you activate it, until the end date on that file. A paid licence is annual and renews when you import a file for the next year. You do not own the program. You do own the invoices and other records you create with it.

2. Who may use it

People who work for that business may use it for that business. You may not rent it out, share the licence file with another business, or use one file to cover a company cap you have not paid for. The company cap on the file is the limit. Solo covers 1 company, Practice covers 5, Firm covers 20, and Unlimited has no company cap. Those caps are for one annual term at the price on the pricing section.

3. What you must not do

You must not copy the program except for a normal backup, or try to defeat the licence check. You must not reverse engineer it except where UK law expressly allows that. You must not remove notices in the software that say who it belongs to.

4. QuickBooks and other services

QuickBooks Online is Intuit’s service. Microsoft 365, IMAP, and POP3 providers are other people’s services. Their terms apply when you connect them. We are not Intuit and we are not your email provider. The redirect address registered on your Intuit app stays under your control.

5. Your records

The software stores its database on the PC. You are responsible for backups. Uninstalling or deleting that folder can remove the local copy of your invoices. We do not keep a second copy for you.

6. Updates and support

During the term we provide updates and a reasonable amount of email support about the software. We do not promise a particular response time unless a separate written support agreement says so. Support is about the program, not about preparing statutory accounts.

7. If something goes wrong

The software is provided with reasonable care and skill. We do not promise that every email can be parsed, or that QuickBooks or your mail host will be available. Check invoices before you rely on them.

We do not exclude liability for death or personal injury caused by negligence, for fraud, or for any other liability that UK law does not allow us to exclude. Subject to that, we are not liable for lost profit, lost data, or indirect loss. Our total liability arising out of the software in an annual licence term is limited to the amount you paid us for that year. If you have not paid for a licence, that cap is £18.99, the introductory Solo price. Nothing here affects your statutory rights if you are a consumer.

8. Ending the licence

The licence ends on the end date, or sooner if you break this agreement and do not put it right within 14 days of us writing to you. When it ends you must stop using the program. Clause 5, clause 7, and this clause 8 still apply. Your records on the PC remain yours.

9. Law

This agreement is governed by the law of England and Wales. The courts of England and Wales decide disputes, except that if you are a consumer in Scotland or Northern Ireland you may also use your local courts.
